Clause 12 — Limitation of Liability

12.1 Neither party shall be liable for any indirect, incidental or consequential damages arising out of this Agreement. 12.2 The total liability of either party shall not exceed the fees paid in the prior twelve (12) months. 12.3 Nothing in this Agreement shall limit liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by applicable law. 12.4 Any claim arising under this Agreement must be brought within twelve (12) months of the date on which the cause of action arose. Neither party may assign its rights or obligations under this clause without the prior written consent of the other party. 12.5 For the avoidance of doubt, the limitations set out in this clause shall apply to the fullest extent permitted by applicable law and shall survive the termination or expiry of this Agreement.
